Description of services
LabData operates a data licensing advisory and brokerage service. We connect companies with proprietary data assets to AI labs and other organizations seeking licensed data. We facilitate introductions, assist with due diligence, and help structure licensing agreements. We do not own, create, or sell datasets ourselves.
No guarantee of results
We cannot guarantee that we will find a buyer for your data or a dataset that meets your requirements. The data licensing market is specialized and not all assets or requests result in transactions.
For data owners
If you engage us to market your data, you represent that:
- You have legal ownership or authority to license the data
- The data does not infringe third-party intellectual property rights
- You have obtained necessary consents for any personal information included
- Your description of the data is accurate
- You will comply with applicable laws regarding data transfer
For data buyers
If you engage us to source data, you represent that:
- You have authority to enter licensing agreements on behalf of your organization
- You will use licensed data only as permitted by the agreement
- You will comply with applicable laws regarding data use
Fees
We earn a commission on successful transactions. There are no fees for initial consultations or assessments. Commission rates depend on deal size and complexity, and will be agreed in writing before we begin active work on your behalf.
Confidentiality
We treat information about your data assets and requirements as confidential. We will not disclose specifics to third parties without your permission. Parties involved in potential transactions sign non-disclosure agreements before receiving detailed information.
Limitation of liability
To the extent permitted by law, LabData shall not be liable for indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability shall not exceed the fees paid by you to us in the twelve months preceding the claim.
Disclaimer
Our services are provided "as is" without warranties of any kind. We do not guarantee the accuracy or completeness of information provided by data owners or buyers. We do not guarantee that any transaction will close.
Indemnification
You agree to indemnify LabData from claims arising from your use of our services, your violation of these terms, or your violation of any third-party rights.
Governing law
These terms are governed by applicable law. Disputes shall be resolved through binding arbitration unless prohibited by law.
Changes to terms
We may modify these terms at any time. Changes are effective when posted. Your continued use of our services constitutes acceptance.
